Terms of Service
Last updated June 25, 2026
The agreement that governs your use of the Veto merchant platform – how selling to AI agents works, what you're responsible for, and how payments settle directly to your wallet.
1. Acceptance of these Terms
These Terms of Service (the “Terms”) govern your access to and use of the Veto merchant platform, including the dashboard, APIs, SDKs, command-line tools, and any related services (together, the “Service”). The Service is operated by Investech Global LLC (“Veto,” “we,” “us”).
By creating an account, clicking to accept, or otherwise using the Service, you agree to these Terms. If you are using the Service on behalf of a company or other entity, you represent that you have authority to bind that entity, and “you” refers to that entity. If you do not agree, do not use the Service.
2. What Veto Is
Veto is non-custodial infrastructure. We help merchants publish a checkout that autonomous AI agents can discover and buy from, and we provide the policy and trust layer around those transactions. Veto never holds, controls, or takes custody of your funds.
Payments settle directly to a receiving address that you control. We are not a bank, a money transmitter, a payment processor that holds balances, an escrow agent, or a custodian. We do not provide financial, tax, or legal advice. The Service is a technology platform that connects you to buyers and the payment rails you choose.
3. Eligibility & Accounts
You must be at least the age of majority in your jurisdiction and able to form a binding contract to use the Service. You agree to provide accurate account information and to keep it current. You are responsible for safeguarding your credentials, API keys, and signing keys, and for all activity that occurs under your account.
Notify us promptly at legal@veto-ai.com if you suspect any unauthorized access. We may refuse, suspend, or terminate accounts at our discretion as described in these Terms.
4. Merchant Responsibilities
You are the merchant of record for every sale you make through the Service. That means you own and are solely responsible for:
- your products and services, their descriptions, pricing, and availability;
- fulfillment, delivery, support, refunds, and any disputes with buyers;
- all applicable taxes, including sales tax, VAT, GST, and withholding – Veto does not calculate, collect, or remit taxes on your behalf;
- compliance with all laws, regulations, licensing, and industry rules that apply to what you sell and where you sell it; and
- offering only lawful goods and services that you have the right to sell.
You are responsible for the conduct of any AI agents, automated systems, or third parties you authorize to act in connection with your account.
5. Payments, Settlement & Finality
Buyers – including autonomous agents – pay you using the rails the Service supports, such as stablecoin settlement over x402 and on-chain payment (for example, USDC on Base). Funds settle directly to the receiving address you configure; Veto is not a party to the transfer of value and never takes possession of the funds.
On-chain and stablecoin payments are final and irreversible. There are no chargebacks, reversals, or clawbacks once a payment is confirmed on the network. You are responsible for configuring a correct receiving address; we cannot recover funds sent to an address you mis-configure. You handle refunds, if any, directly with your buyer outside the Service.
6. Fees
Veto charges a small platform fee per sale, as described on our pricing page and within the dashboard at the time you set up your checkout. By using the Service you agree to the fees then in effect. We may change our fees on a prospective basis with reasonable notice; continued use after a change takes effect constitutes acceptance.
Network, gas, and rail-specific costs, where applicable, are separate from our platform fee and are your responsibility. Fees are exclusive of taxes that may apply to you.
7. Acceptable Use
You agree not to use the Service to, or to enable others to:
- sell or facilitate illegal goods or services, stolen property, counterfeits, weapons, controlled substances, or anything you lack the right to sell;
- engage in fraud, money laundering, sanctions evasion, or financing of prohibited activity;
- infringe the intellectual property, privacy, or other rights of any person;
- probe, scrape, overload, disrupt, or circumvent the security or rate limits of the Service; or
- misrepresent your identity, your products, or the nature of a transaction.
We may investigate suspected violations and take action, including suspension or termination.
8. Intellectual Property
The Service, including its software, design, documentation, and the Veto name and marks, is owned by Veto and protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service as permitted by these Terms. You retain all rights to your own content, products, and brand; you grant us only the rights needed to operate the Service for you.
9. Disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” without warranties of any kind, whether express, implied, or statutory, including the implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.
We do not warrant that the Service will be uninterrupted, error-free, or secure, or that any blockchain network, payment rail, or third party we integrate with will perform as expected. You use the Service, and transact with agents and buyers, at your own risk.
10. Limitation of Liability
To the maximum extent permitted by law, Veto and its affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, goodwill, or funds, arising out of or related to your use of the Service – even if advised of the possibility of such damages.
Because Veto is non-custodial and never holds your funds, we are not responsible for the loss, theft, or irreversibility of any payment, nor for the acts of agents, buyers, or third-party rails. Our aggregate liability for any claim relating to the Service will not exceed the platform fees you paid to us in the three months before the event giving rise to the claim.
11. Indemnification
You agree to indemnify and hold harmless Veto and its affiliates, officers, and employees from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of your products or services, your breach of these Terms, your violation of any law or third-party right, or transactions you conduct through the Service.
12. Term & Termination
These Terms apply for as long as you use the Service. You may stop using the Service and close your account at any time. We may suspend or terminate your access if you breach these Terms, create risk or legal exposure, or for operational reasons, with notice where practicable.
Sections that by their nature should survive termination – including payments already made, disclaimers, limitations of liability, indemnification, and governing law – will survive.
13. Changes to the Terms
We may update these Terms from time to time. When we make material changes, we will update the “Last updated” date above and, where appropriate, provide additional notice. Continued use of the Service after changes take effect means you accept the revised Terms.
14. Governing Law
These Terms and any dispute arising from them are governed by the laws applicable to Investech Global LLC, without regard to conflict-of-laws principles. The parties will attempt to resolve disputes informally before pursuing any formal proceeding. If any provision is held unenforceable, the remaining provisions stay in effect.
